These Terms of Service ("Terms") constitute a legally binding agreement between you and Nutter Tools ("we," "us," or "our") concerning your access to and use of our services, including our website, mobile applications, desktop applications, and all related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the modified Terms.

To use our Services, you must be at least 13 years old (or 16 in the European Economic Area). If you are under 18, you represent that you have your parent or guardian's permission to use our Services.

By using our Services, you represent and warrant that:

There is no account system and nothing to register: every tool works without a sign-up, and no feature is gated behind an account. Because we hold no accounts, there are no credentials to secure and no account data on our side.

If you email us, we keep that correspondence (see the Privacy Policy). Nothing else about you is stored.

Every tool is free to use and nothing on the site is for sale today: there is no subscription, no checkout, no payment processor, and no billing of any kind.

If paid plans are ever introduced, these Terms and the Privacy Policy will be updated first, and nothing will be charged to you without an explicit purchase you initiate.

7.1 Our Rights

All content, features, and functionality of our Services, including but not limited to software, text, images, graphics, logos, and trademarks, are owned by Nutter Tools or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission. Reverse engineering or attempting to extract source code is prohibited.

7.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or internal business purposes.

By using our Services, you represent and warrant that:

• You own or have rights to all content you upload
• Your Content does not violate any laws or third-party rights
• Your Content does not contain viruses or malicious code
• You have all necessary permissions to process the content

Client-Side Processing: As stated in our Privacy Policy, all file processing happens on your device. Your files are never uploaded to our servers, and we never access, view, or store Your Content.

9.2 Termination by Us

We reserve the right to restrict or terminate your access to the Services immediately, without prior notice or liability, if:

• You breach these Terms
• You engage in fraudulent or illegal activities
• We are required to do so by law
• We discontinue the Services

We do not warrant that our Services will meet your requirements or that defects will be corrected. Your use of our Services is at your sole risk.

Some jurisdictions do not allow exclusions of implied warranties, so some of the above exclusions may not apply to you.

Our total liability to you for all claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

These limitations apply regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless Nutter Tools, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of any law or rights of a third party
• Your Content or any content you submit

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

13.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Nutter Tools is registered, without regard to conflict of law principles.

13.3 Arbitration

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:
